Use of Specific Documents
Permission to use documents from the Sites, FAQs, informational releases, or other content is granted, provided that (1) the documents are used in full with no modification, including all copyright notices that appear, and (2) such use is for your personal or noncommercial purposes only and will not be posted on any other website or broadcast over any form of media. Indemnification
YOU AGREE TO INDEMNIFY AND HOLD HARMLESS HAPPY PLACES AND ITS BUSINESS PARTNERS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY AND ALL CLAIMS OR DEMANDS BY THIRD PARTIES ARISING FROM, OR RELATING TO, YOUR USE OF THE SITES OR YOUR VIOLATION OF THE RIGHT OF ANY THIRD PARTY.
General
You acknowledge and agree that the information and services you receive from HAPPY PLACES is provided on an "AS IS" basis with no warranty whatsoever, and the sole remedy for you or any third party for any claim arising from or relating to your use of the Sites is that you discontinue use of our website and services. HAPPY PLACES expressly disclaims any implied warranties of any kind, including but not limited to warranties of merchantability of fitness for a particular purpose. You agree that HAPPY PLACES will have no liability for any damages of any kind arising out of this Agreement or any consequences that flow from it. The terms and conditions of this Agreement will insure to the benefit of the successors, assigns, and licensees of HAPPY PLACES. Any section or provision of this Agreement deemed unlawful, void, or unenforceable by any court of competent jurisdiction shall be modified in keeping with the spirit of the provision to make it enforceable. Any provision that cannot be made enforceable by modification shall be stricken from this Agreement without affecting the validity and enforceability of the remaining terms. The failure to enforce any provision of this Agreement by HAPPY PLACES shall not constitute a waiver of that provision.
HAPPY PLACES retains the right to offer our services at our sole discretion.
Jurisdiction
This Agreement is governed by the laws of the United States of America, the state of Texas and of Tarrant County. You agree that any claims or causes of action relating to this Agreement must be filed within one year after such claim or cause of action arises, regardless of any law or statute to the contrary. Failure to file within the specified time frame will serve as a bar to that claim or cause of action. You agree to submit to jurisdiction in Tarrant County in the state of Texas, and that any claim arising under this Agreement or your use of the Sites will be brought in a court in Tarrant County, Texas.
In the event of any dispute arising out of or relating to the Sites, you agree that the exclusive venue for litigating disputes shall be in state or federal court in Tarrant County, Texas.
Prices and Fees
HAPPY PLACES retains the right to change fees, prices or rates that are associated with the Sites. Services and prices may vary from time to time, from client to client, and from agreement to agreement for various reasons including changing demand, dissimilar products, dissimilar advertising content, dissimilar advertising periods, dissimilar services, applicable laws, relative fluctuations in currency values and other causes. Prices for existing agreements can only be changed as permitted by the existing agreements.
HAPPY PLACES requires payment in advance for all products and services provided.
No Refund Policy
All sales are final. HAPPY PLACES does NOT give refunds on products or services provided via the Sites.
Advertisement Services
HAPPY PLACES retains the right to refuse storage and/or presentation of any advertising content on the basis of its content as determined solely by the policies and judgment of HAPPY PLACES. HAPPY PLACES reserves the right to refuse advertisement of any product, service or opinion based on our own discretion in order to avoid posting content that could cause possible harm, promote hostile or inflammatory opinions or for any other reason that could create a conflict of interest with HAPPY PLACES, our business partners, our clients or other third parties.
User agrees that HAPPY PLACES shall not be liable for loss or damages that may result from the removal of any advertising content file from the Sites. HAPPY PLACES advises all users to retain copies of their files.
Presented content files will always be hosted on our servers to protect our members and visitors. HAPPY PLACES does not present advertising content located on remote servers since HAPPY PLACES cannot control the content of those files.
User agrees that HAPPY PLACES retains the right to refuse storage and/or presentation of any banner on the basis of its specifications. HAPPY PLACES retains the right to change the banner specifications qualifications for storage and presentation on the Sites. Specification requirements for existing agreements can only be changed as permitted by the existing agreements.
HAPPY PLACES retains the right to refuse posting of an advertisement on the Sites even in the event that a prior advertisement with the same or similar content has been posted on the Sites in the past.
Participants of our advertising services are advised that advertisements DO NOT appear on all web pages of the Sites. The advertising space available for temporary and limited use is limited to a subset of web pages of the Sites that are commonly accessed by the general public as determined by HAPPY PLACES. The specific presentation locations and durations of each advertisement is determined specifically by the agreement for the concerned advertisement.
HAPPY PLACES retains the right to present additional third party banners concurrently on the same web pages on which advertisements under existing agreements are presented.
Users of our advertising services agree that the price of our advertisement services may vary from time to time, from client to client, and from advertisement to advertisement as separate individual agreements. Users of our advertising services agree to waive and dismiss any and all expectations of fairness and similarity of pricing for similar advertising services. Fees and prices may vary from one agreement to the next because of terms of agreements, changes in demand, applicable laws, and relative fluctuations in currency values. Fees and prices for existing agreements can only be changed, as permitted by the existing agreements.
No advertisement will be posted on the Sites until payment for that service has been collected. No refund of advertisement fees will be made once the advertisement has been posted on the Sites.
Trademark Disputes
HAPPY PLACES is not responsible for the determination of any advertiser's eligibility to use provided content. Trademark law differs from country to country and, in some countries, from region to region. User certifies that User has legal right to any advertising content provided to HAPPY PLACES, and that use of the concerned content does not violate any copyrights, trademarks, service marks or the ownership and privacy rights of any entity. User understands that HAPPY PLACES is not responsible for verifying ownership for any stored and presented content, and that HAPPY PLACES will not become involved in any dispute over any ownership rights. In the event of a dispute over advertising content, the involvement of HAPPY PLACES will be limited to providing concerned user contact information to the disputing party.
Headings and Gender
The paragraph headings are inserted for convenience of reference only and are not to be utilized in interpreting this Agreement. When referring to any party, the plural shall include the singular (and vice versa) and reference to any gender shall include all genders.
Severability
If any term provision, covenant or condition of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remainder of the provisions shall remain in full force and effect and shall in no way be affected, impaired or invalidated.
Changes and Updates to Our Policies
We reserve the right at any time to make changes to the policies set forth in this Agreement. Changes made will be in writing and posted on our website as applicable. Your continued use of the Sites following the posting of any such changes in policy or conditions will serve as your acceptance of those changes.
We may amend this Agreement at any time. Changes will be posted on this website, and will be considered effective immediately.
